Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Pactly (“Pactly”), operated by VR AI Solutions LLC (“VR AI Solutions,” “we,” “us,” or “our”).

By creating an account or using Pactly, you agree to these Terms.

If you do not agree to these Terms, you may not use Pactly.

1. Description of Pactly

Pactly is a productivity application designed to help users identify and act on potentially actionable items in their Gmail conversations.

With your authorization, Pactly may read recent Gmail messages and identify potential:

• Reply obligations;
• Promises and commitments;
• Deadlines; and
• Conversations awaiting responses.

Pactly presents extracted information to help you organize and follow up on your communications.

At your explicit direction, Pactly can also take Gmail actions on individual items: apply labels, archive threads, create drafts, and send drafts you have reviewed and confirmed. Automatic inbox labeling during synchronization can be disabled in Settings.

Pactly is a productivity tool and is not intended to replace your own judgment or review of your communications.

2. Eligibility

You must be legally capable of entering into these Terms to use Pactly.

If you use Pactly on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

3. Your Account

You are responsible for maintaining the security of your Pactly account and for activity occurring through your account.

You agree to provide accurate information when required to create or maintain your account.

You must not:

• Impersonate another person;
• Provide false account information;
• Attempt to access another user’s account;
• Circumvent security controls;
• Interfere with the operation of Pactly; or
• Use Pactly for unlawful purposes.

4. Gmail Authorization

Pactly requires authorization to access Gmail in order to provide its core functionality.

Pactly currently requests the gmail.modify and gmail.send Gmail permissions.

These permissions allow Pactly to read your Gmail messages and, at your direction, to apply labels, archive threads, create drafts, and send emails. Specifically:

• Labels: Pactly automatically applies Pactly/Action and Pactly/Waiting labels to threads with open items during synchronization, and Pactly/Done when you complete them. You may disable automatic labeling in Settings.
• Archive, drafts: These happen only when you explicitly choose them for an individual item.
• Sending: Pactly sends an email only after you review the draft and explicitly confirm sending in a dedicated confirmation dialog. Pactly never sends email automatically.

By connecting Gmail to Pactly, you authorize Pactly to access Gmail information within the permissions you grant through Google’s authorization process.

You may revoke Pactly’s Gmail access through your Google account settings. Revoking access stops all Gmail functionality, including synchronization.

5. Email Processing

Pactly may synchronize up to 50 recent Gmail threads from approximately the previous 60 days during a synchronization.

Pactly processes email metadata and message content to identify potentially actionable information.

Full email bodies are processed temporarily and are not permanently stored by Pactly.

Pactly may retain limited extracted information, including summaries, evidence excerpts, categories, confidence scores, and item status, as described in the Privacy Policy.

6. No Guarantee of Accuracy

Pactly uses automated heuristic and pattern-matching techniques to identify potentially relevant information.

Pactly may incorrectly identify, miss, misunderstand, or misclassify information in an email.

For example, Pactly may:

• Identify a message as requiring a response when it does not;
• Fail to identify an actual commitment or deadline;
• Misinterpret the meaning of a statement;
• Identify an incorrect deadline; or
• Associate an item with the wrong conversation or contact.

You are responsible for reviewing Pactly’s results before relying on them.

Pactly does not guarantee that its extracted information is complete, accurate, current, or error-free.

7. Your Responsibility for Deadlines and Commitments

Pactly is not a substitute for your own calendar, task-management system, legal advice, professional advice, or personal review of communications.

You remain solely responsible for meeting your commitments and deadlines.

You should independently verify important dates, obligations, financial matters, legal matters, employment matters, medical matters, and other consequential information before taking action.

Failure of Pactly to identify a deadline, commitment, or required response does not relieve you of your obligations.

8. Acceptable Use

You agree not to use Pactly to:

• Violate any applicable law or regulation;
• Gain unauthorized access to another person’s information;
• Circumvent Google’s security or access controls;
• Interfere with Pactly’s infrastructure;
• Reverse engineer or attempt to extract proprietary source code except where permitted by law;
• Introduce malware or malicious code;
• Abuse, overload, or disrupt the service;
• Use the service to facilitate fraud or other unlawful activity; or
• Attempt to access information belonging to another Pactly user.

9. Intellectual Property

Pactly, including its software, interface, design, branding, features, documentation, and underlying technology, is owned by or licensed to VR AI Solutions LLC and is protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, or create derivative works from Pactly or its underlying technology.

You retain ownership of your own content and information.

You grant VR AI Solutions LLC only the rights reasonably necessary to operate Pactly and provide the services you request.

10. Privacy

Your use of Pactly is also governed by our Privacy Policy.

The Privacy Policy explains what information Pactly accesses, how Gmail information is processed, what information is stored, how information is protected, and how you can request deletion.

11. Third-Party Services

Pactly may depend on third-party services, including Google Gmail APIs and infrastructure providers.

Third-party services may experience outages, limitations, changes, or interruptions outside our control.

Your use of third-party services may also be subject to the third party’s own terms and policies.

12. Service Availability

We will make reasonable efforts to keep Pactly available, but we do not guarantee uninterrupted or error-free operation.

Pactly may occasionally be unavailable because of:

• Maintenance;
• Updates;
• Infrastructure failures;
• Third-party service outages;
• Security incidents;
• Network failures; or
• Circumstances outside our reasonable control.

13. Account Deletion

You may delete your Pactly account using the account deletion functionality provided within the application.

Upon account deletion, Pactly is designed to delete the account data associated with your account, including stored OAuth tokens and application data as described in the Privacy Policy.

Deletion may not remove information that must be retained by law or that is otherwise permitted to be retained under the Privacy Policy.

14. Suspension and Termination

We may suspend or terminate your access to Pactly if we reasonably believe that you:

• Violated these Terms;
• Misused the service;
• Created a security risk;
• Engaged in unlawful activity; or
• Threatened the security, availability, or integrity of Pactly or another user’s information.

You may stop using Pactly at any time.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACTLY IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

VR AI SOLUTIONS LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT WARRANT THAT PACTLY WILL:

• ALWAYS BE AVAILABLE;
• BE ERROR-FREE;
• IDENTIFY EVERY RELEVANT EMAIL;
• IDENTIFY EVERY DEADLINE OR COMMITMENT;
• PRODUCE COMPLETELY ACCURATE RESULTS; OR
• MEET EVERY USER’S PARTICULAR REQUIREMENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VR AI SOLUTIONS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF PACTLY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF VR AI SOLUTIONS LLC ARISING OUT OF OR RELATING TO PACTLY WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO USE PACTLY DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

17. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless VR AI Solutions LLC and its officers, members, employees, contractors, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

• Your violation of these Terms;
• Your misuse of Pactly;
• Your violation of applicable law; or
• Your violation of another person’s rights.

18. Changes to These Terms

We may modify these Terms from time to time.

If we make material changes, we may update the “Last Updated” date and provide additional notice where required.

Your continued use of Pactly after updated Terms become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms or your use of Pactly will be subject to the applicable courts having jurisdiction over the dispute.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms and the Privacy Policy constitute the agreement between you and VR AI Solutions LLC concerning your use of Pactly, except where additional terms are expressly provided for particular services.
